1. Introduction

These Terms of Service ("Agreement") govern your access to and use of the corporate travel management services provided by Cinnamon Travels Worldwide, LLC ("Cinnamon Travels", "we", "our", or "the Provider"), a limited liability company incorporated in the State of Nebraska, with its principal office at 1601 Dodge Street, Suite 3700, Omaha, NE 68102.

By entering into a Service Agreement with Cinnamon Travels, you ("Client") agree to be bound by these Terms. If you do not agree to any provision, do not use our services.

2. Service Description

Cinnamon Travels provides the following B2B corporate travel management services:

  • Itinerary Management: Centralized booking, scheduling, and modification of corporate travel itineraries, including flights, hotels, and ground transportation.
  • Duty of Care: Real-time traveler tracking, safety alerts, emergency notifications, and risk advisory services for corporate travelers.
  • Billing & Invoicing: Automated expense consolidation, invoice generation, payment processing, and financial reporting.
  • Transactional Notifications: Automated email notifications for itinerary changes, booking confirmations, safety alerts, and invoice delivery, routed via Mailgun/AWS SES infrastructure.

3. Eligibility & Access

Our services are available exclusively to registered business entities operating under a valid Service Agreement. We do not provide services to individual consumers. By using our platform, you represent that you are authorized to bind your organization to this Agreement.

4. Client Obligations

As a Client, you agree to:

  • Provide accurate and up-to-date information for all travelers and billing contacts.
  • Ensure all recipient email addresses belong to employees or authorized agents of your organization.
  • Maintain the confidentiality of your account credentials and API keys.
  • Comply with all applicable laws and regulations, including anti-spam legislation.
  • Promptly report any security incidents or unauthorized access to your account.
  • Pay all invoices within the agreed-upon timeframe (default: Net-30).

5. Prohibited Uses

You may not use our services to:

  • Send unsolicited commercial communications (spam), marketing emails, or cold outreach.
  • Transmit content that is defamatory, threatening, harassing, or illegal.
  • Upload or distribute malware, viruses, or other malicious code.
  • Attempt to gain unauthorized access to our systems or other clients' data.
  • Use purchased, rented, or scraped email lists.
  • Resell or sublicense access to our platform without prior written consent.
  • Violate any applicable law, regulation, or third-party rights.

6. Fees & Payment

Service fees are outlined in the applicable Service Agreement or Statement of Work. Unless otherwise specified, invoices are issued monthly and payment is due within 30 days (Net-30). Late payments may incur interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law.

We reserve the right to suspend services for accounts with outstanding balances exceeding 60 days. All fees are exclusive of applicable taxes, which are the responsibility of the Client.

7. Intellectual Property

All content, software, designs, trademarks, and proprietary technology used in connection with our services remain the exclusive property of Cinnamon Travels Worldwide, LLC. Clients retain full ownership of their data, traveler information, and any content they upload to our platform.

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the engagement. This includes business strategies, financial data, traveler personally identifiable information (PII), and technical specifications. Confidentiality obligations survive for a period of three (3) years after termination.

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA. A Data Processing Agreement (DPA) is available upon request and forms part of this Agreement where required by law.

10. Service Availability & SLA

We target 99.5% platform uptime, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance, when required, will be communicated at least 48 hours in advance. We are not liable for downtime caused by force majeure, third-party service outages (e.g., AWS, Mailgun), or Client-side network issues.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Cinnamon Travels shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of our services. Our total cumulative liability shall not exceed the total fees paid by the Client in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless Cinnamon Travels, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from the Client's breach of these Terms, misuse of services, or violation of applicable laws.

13. Termination

Either party may terminate a Service Agreement by providing 30 days' written notice. We may suspend or terminate services immediately if we determine, in our sole discretion, that the Client has violated these Terms, the Acceptable Use Policy, or any applicable law. Upon termination, applicable data retention and deletion policies apply as described in our Privacy Policy.

14. Dispute Resolution

Any dispute arising from or related to these Terms shall be resolved through good-faith negotiation between the parties. If unresolved within 30 days, either party may initiate binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Omaha, Nebraska.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of laws principles. Any legal proceedings shall be brought exclusively in the state or federal courts located in Douglas County, Nebraska.
